Agreement to terms

These Terms of Service ("Terms") govern your use of Pinwarden's website, software, and services (collectively, the "Service"). By creating an account, purchasing a plan, or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

Description of service

Pinwarden is a Google Business Profile management service. We optimize, maintain, and monitor your Google Business Profile by:

  • Publishing posts on a regular schedule
  • Responding to customer reviews
  • Requesting reviews from recent customers
  • Uploading photos and updating profile information
  • Tracking your ranking positions across search keywords
  • Generating monthly performance reports

The Service requires OAuth access to your Google Business Profile. You grant this access during account setup.

Pricing and plans

3-Day Optimization Pass ($49)

  • One-time purchase. The pass is not a subscription and will not automatically renew or charge you again.
  • Service period. Your three days of service begin when you grant Pinwarden access to your Google Business Profile, not when you complete payment.
  • What's included. Profile audit, field optimization, up to 3 posts, review response setup, baseline ranking report.
  • Refund policy. If you are unsatisfied for any reason, request a full refund within 7 days of purchase. No questions asked. Email support@pinwarden.com.

Monthly Subscription ($297/month per location)

  • Billing. Charged monthly on the date you subscribed. Billing is per Google Business Profile location. If you manage multiple locations, each location requires a separate subscription.
  • Automatic renewal. Your subscription renews automatically each month until you cancel.
  • Cancellation. You may cancel at any time from your account dashboard or by emailing support. When you cancel, service continues through the end of your current billing period. We do not provide partial-month refunds for mid-cycle cancellations.
  • 7-day money-back guarantee. If you are unsatisfied within the first 7 days of your initial subscription, request a full refund by emailing support@pinwarden.com. This guarantee applies only to your first month and does not apply to renewals.
  • Price changes. We may change subscription pricing with 30 days' notice via email. The new price will apply to your next billing cycle. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

Payment terms

  • Payment processing. All payments are processed by Stripe, Inc. You agree to provide accurate payment information and authorize Pinwarden (via Stripe) to charge your payment method for all fees.
  • Failed payments. If a subscription payment fails, we will attempt to re-charge your payment method up to 3 times over 7 days. If all attempts fail, your subscription will be suspended and your access to the Service will be paused until payment is received.
  • Taxes. All prices are exclusive of applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying any taxes associated with your purchase. We will collect and remit taxes where required by law.
  • Receipts. Invoices and receipts are emailed to your account email address after each successful payment. You can also access billing history from your account dashboard.

Access and authorization

By using Pinwarden, you grant us permission to:

  • Access your Google Business Profile. We use OAuth 2.0 to access your Google Business Profile data, including profile information, reviews, posts, photos, and performance metrics.
  • Publish content on your behalf. We will publish posts, upload photos, respond to reviews, and update profile fields using AI-generated and manually reviewed content.
  • Request reviews from customers. We will send review request messages to customers whose contact information you provide or who have interacted with your business.
  • Monitor ranking positions. We track where your business ranks in Google Maps search results for relevant keywords in your service area.

You represent and warrant that:

  • You own or have the legal right to authorize access to the Google Business Profile(s) you connect to Pinwarden.
  • You will not use the Service to violate any laws, regulations, or third-party rights.
  • All information you provide is accurate, current, and complete.

Revoking access

You may revoke Pinwarden's access to your Google Business Profile at any time by:

Revoking access stops all profile management immediately. This does not automatically cancel your subscription. To cancel your subscription, you must do so separately from your account dashboard or by contacting support.

Prohibited uses

You may not use the Service to:

  • Violate any laws, regulations, or third-party rights (including intellectual property rights, privacy rights, or defamation laws).
  • Publish false, misleading, or fraudulent information on your Google Business Profile.
  • Manipulate reviews or ratings (e.g., paying for fake reviews, threatening customers who leave negative reviews).
  • Spam customers with excessive review requests or promotional messages.
  • Use the Service to manage Google Business Profiles you do not own or have authority to manage.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Access the Service using automated means (bots, scrapers) without our written permission.
  • Resell, sublicense, or redistribute the Service to third parties.

Violation of these terms may result in immediate suspension or termination of your account without refund.

No guarantees

Pinwarden does not guarantee specific outcomes. While we work to improve your Google Business Profile performance, results depend on factors outside our control, including:

  • Your industry, location, and competition
  • Google's ranking algorithms (which change frequently)
  • The quality and quantity of reviews your business receives
  • Your business's offline reputation and service quality
  • External factors (economic conditions, seasonality, etc.)

We cannot and do not guarantee:

  • Specific ranking positions in Google Maps or Google Search
  • A certain number of phone calls, website visits, or direction requests
  • Increased revenue or business growth
  • Immunity from negative reviews or competitor activity

Past results shown on pinwarden.com are examples from real customers but are not representative of all outcomes. Your results may be better or worse.

Content ownership and licensing

Your content

You retain all ownership rights to content you provide to Pinwarden (business information, photos, logos, etc.). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, reproduce, and publish your content solely to provide the Service.

AI-generated content

Pinwarden uses AI to generate posts, review responses, and other profile content. You own the AI-generated content published to your Google Business Profile. We make no claims to copyright or ownership of this content.

You are responsible for reviewing and approving AI-generated content before it is published (if you have enabled manual approval in your account settings). If you have automatic publishing enabled, you acknowledge that content will be published without your prior review.

Pinwarden's intellectual property

The Service, including its software, design, algorithms, and documentation, is owned by Pinwarden and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.

Account termination and suspension

Termination by you

You may cancel your account at any time by emailing support@pinwarden.com. If you have an active subscription, it will continue through the end of your current billing period (no refunds for partial months).

Termination by Pinwarden

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Privacy Policy
  • Engage in fraudulent activity or payment disputes (chargebacks)
  • Use the Service in a way that harms Pinwarden or other users
  • Fail to pay amounts due for more than 14 days

If we terminate your account for cause, you are not entitled to a refund. If we terminate your account without cause (e.g., discontinuing the Service), we will provide a pro-rata refund for any unused subscription time.

Effect of termination

Upon termination:

  • Your access to the Service will be immediately revoked.
  • We will stop managing your Google Business Profile.
  • Your profile will remain on Google with all content published during your subscription. We do not delete or revert posts, photos, or review responses.
  • Account data (ranking history, reports) will be deleted after 90 days, as described in our Privacy Policy.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Pinwarden does not warrant that:

  • The Service will be uninterrupted, secure, or error-free.
  • The results from using the Service will be accurate or reliable.
  • Any errors in the Service will be corrected.
  • The Service will meet your specific requirements or expectations.

You use the Service at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so the above limitations may not apply to you.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINWARDEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PINWARDEN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO PINWARDEN IN THE 12 MONTHS PRECEDING THE CLAIM.

This limitation of liability applies to claims based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Pinwarden has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Pinwarden, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content published to your Google Business Profile through the Service
  • Disputes between you and your customers

Dispute resolution and arbitration

Informal resolution

If you have a dispute with Pinwarden, you agree to first contact us at support@pinwarden.com and attempt to resolve the dispute informally. Most disputes can be resolved this way.

Binding arbitration

If we cannot resolve a dispute informally within 30 days, you agree that the dispute will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Port Orange, Florida.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT. All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions

Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive relief in court to prevent actual or threatened infringement of intellectual property rights.

Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any arbitration or court proceeding (if applicable) will take place in Port Orange, Florida.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address on your account) and update the "Effective date" at the top of this page. The updated Terms will become effective 30 days after we send the notification.

Continued use of the Service after the effective date constitutes acceptance of the new Terms. If you do not agree to the changes, you must cancel your account before the effective date.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pinwarden regarding the Service and supersede all prior agreements, understandings, and communications.
